OUTLIER TERMS OF SERVICE

These Terms of Service (“Terms”) govern the access to and use of services provided by JR Limited Holdings LLC, doing business as Outlier (“Outlier,” “we,” “us,” or “our”), by any individual or entity (“Client,” “you,” or “your”).

By purchasing, accessing, or using Outlier’s services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not purchase or use the services.

1. SERVICES PROVIDED

Outlier provides professional, advisory, and consulting services for short-term rental property owners, including but not limited to:

  • Market data, pricing insights, and competitor analysis
  • Revenue, booking funnel, and performance analytics
  • Reporting, dashboards, and general market insights
  • SEO, marketing, and optimization recommendations for short-term rental listings

All services provided by Outlier are purely advisory and consultative in nature.

No Property Management

Outlier does not provide property management services. This includes, but is not limited to:

  • Guest communication or interaction
  • Booking execution or control
  • Rent or payment collection
  • Maintenance coordination
  • Negotiation of rental terms
  • Execution of pricing changes without Client approval

Any designation of Outlier as a “co-host” or similar role by a third-party platform is solely a platform classification and does not alter the advisory nature of Outlier’s services.

2. CLIENT CONTROL & RESPONSIBILITY

The Client retains full ownership, authority, and decision-making control over:

  • The property and listings
  • Pricing strategies
  • Booking approvals
  • Operational decisions
  • Compliance with all applicable laws and regulations

All recommendations provided by Outlier are non-binding and subject to Client approval and implementation.

3. FEES & PAYMENT TERMS

  • Services are billed on a recurring monthly basis unless otherwise stated
  • Fees are charged in advance of the service period
  • One-time onboarding or setup fees may apply
  • Payments are non-refundable, except where required by law

Failure to remit payment may result in suspension or termination of services.

4. TERM & TERMINATION

  • Either party may terminate services with 30 days’ written notice
  • Outlier reserves the right to terminate services at will
  • Termination does not relieve the Client of payment obligations incurred prior to termination

5. NO FINANCIAL, LEGAL, OR TAX ADVICE

Outlier does not provide legal, tax, accounting, or investment advice.

Client acknowledges:

  • All advice is general and informational
  • Client is responsible for consulting independent professionals as needed
  • Outlier makes no representations regarding financial outcomes or profitability

6. TAX RESPONSIBILITY

Client is solely responsible for:

  • Income taxes
  • Occupancy, transient, lodging, or sales taxes
  • Platform tax setup and compliance
  • Any permits, licenses, or regulatory requirements

Outlier does not collect, remit, or advise on taxes related to Client properties or transactions.

7. LIMITATION OF LIABILITY

Outlier shall not be liable for:

  • Loss of revenue or profits
  • Business interruption
  • Indirect, incidental, consequential, or special damages
  • Outcomes resulting from Client decisions

Outlier’s services are advisory only, and Outlier bears no responsibility for the Client’s business performance or results.

8. INDEMNIFICATION

Client agrees to indemnify, defend, and hold harmless Outlier and its officers, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Client’s use of the services
  • Client’s violation of laws or regulations
  • Client’s breach of these Terms
  • Client’s hosting, booking, or operational decisions

These obligations survive termination.

9. NO AGENCY OR PARTNERSHIP

Nothing in these Terms creates any:

  • Partnership
  • Joint venture
  • Fiduciary relationship
  • Agency relationship
  • Employment relationship

Outlier acts solely as an independent service provider.

10. FORCE MAJEURE

Outlier shall not be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, government actions, labor disputes, pandemics, or platform outages.

11. ASSIGNMENT

Outlier may assign or delegate its rights or obligations under these Terms without Client consent. Client may not assign without written approval.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

13. ACCEPTANCE OF TERMS

By purchasing or using Outlier’s services, you confirm that you:

  • Have read and understood these Terms
  • Agree to be bound by them
  • Are authorized to bind the entity (if applicable)
